Social Media UGC Sweepstakes Official Rules

The Social Media UGC Sweepstakes (“Sweepstakes”) is sponsored by Holiday Inn Club Vacations Incorporated (“Sponsor”), 9271 South John Young Pkwy., Orlando, FL 32819. The Sweepstakes is in no way sponsored, endorsed or administered by or associated with Facebook, Instagram or any other social media platform. Any questions, comments or complaints regarding the Sweepstakes should be directed to the Sponsor.

1. SWEEPSTAKES TIMING: The Sweepstakes begins on July 15, 2020 at 12:00:00 AM Eastern Time (“ET”) and ends on December 31, 2020 at 11:59:59 PM ET (“Sweepstakes Period”). The Sponsor’s computer is the Sweepstakes’ official clock.

2. ELIGIBILITY: The Sweepstakes is offered only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry. Businesses and other entities are not eligible to enter or win. Employees or franchise owners of InterContinental Hotels Group, employees, officers, directors, representatives and agents of Sponsor (collectively, “Sweepstakes Entities”) and each of their household members or immediate family members (defined as spouses, parents, children, siblings, step-parents, step-children, step-siblings and their respective spouses) are not eligible to enter or win. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law. Winning the prize is contingent upon fulfilling all requirements set forth herein. All entries become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned.

3. HOW TO ENTER THE SWEEPSTAKES: At various times during the Sweepstakes Period, Sponsor will upload a post to Facebook and/or Instagram asking followers to comment on the post or share a photo on their Facebook or Instagram page tagging @hiclubvacations for a chance to win a prize. Entrants are required to follow the Sponsor’s accounts at: http://www.facebook.com/hiclubvacations and http://www.instagram.com/holidayinnclubvacations. An eligible entrant may enter the Sweepstakes by commenting on the post or sharing a photo on his/her Facebook or Instagram page tagging @hiclubvacations. Upon commenting on the post or sharing a photo, an eligible entrant will receive one (1) entry into the Sweepstakes. You must be a registered Facebook or Instagram user to enter. Facebook and Instagram account registration is free and can be obtained by logging onto http://www.facebook.com or http://instagram.com and following the screen instructions to open an account. All terms and conditions of Facebook and Instagram apply. If you opt to use Facebook or Instagram via your wireless mobile device, standard text messaging and/or data rates may apply according to the terms and conditions of your service agreement with your wireless carrier. Each entrant must use only one Facebook and Instagram account and identity to enter the Sweepstakes.

All entrants must agree to the Sponsor’s User Generated Content Terms of Use available at http://hcv.vacations/ugc. If any entrant submits content that is determined by the Sponsor, in its sole discretion to be in violation of the requirements of the User Generated Content Terms of Use, or unsuitable for inclusion, the entrant will be ineligible to receive a prize.

Entry Limit: There is no limit to the number of times a person may enter the Sweepstakes.

4. RANDOM DRAWINGS: On or about the second and fourth Wednesday of each month during the Sweepstakes Period, Sponsor will randomly select one (1) potential winner from among all eligible entries received up until the date of each random drawing. Entries are good for the drawing in which they occur. Entries from previous drawings will not carry over into the new drawings.
The entrants who are selected are deemed to be potential winners, pending verification of the entrant’s eligibility and compliance with these Official Rules as determined by Sponsor, at its sole and absolute discretion.

5. PRIZE, APPROXIMATE RETAIL VALUE (“ARV”), AND ODDS OF WINNING:

A. Prizes: The prize is one $50 Resort Credit to be used on-site for amenities, restaurants and stores at a Holiday Inn Club Vacations resort during a future stay (excludes Lake Geneva Resort, Sunset Cove Resort and Panama City Resort). The Resort Credit is not redeemable for cash. The entire Resort Credit must be used at the time of redemption (Sponsor will not prorate any amount of the Credit winners do not use during their stay). The Credit must be used by December 31, 2021, and it must be added to the winner’s reservation prior to his/her arrival at the resort.

B. ARV: The ARV of the prizes available in this Sweepstakes is $50.

C. Odds of Winning: The odds of winning the prize depend upon the number of eligible sweepstakes entries received for the applicable drawing.

6. HOW TO CLAIM THE PRIZE: The Sponsor or its authorized designee will notify each potential winner by tagging him or her in the comment section of the applicable uploaded post within forty-eight (48) hours of the drawing. The potential winners will be required to send Sponsor a private message with their personal information (name, mailing address, phone number and reservation information if applicable) in order to claim a prize. If they do not have a reservation at the time of winning, they will need to call a phone number provided by Sponsor to get their resort credit added at the time they make their next reservation at a qualifying resort. If a potential winner is disqualified, found to be ineligible or not in compliance with these Official Rules or declines or fails to accept the prize within 24 hours of the first notification attempt, the prize may be forfeited, and in the Sponsor’s sole discretion, the forfeited prize may be awarded to an alternate winner, selected in a random drawing from among all remaining eligible entries. If, after a good-faith attempt, Sponsor is unable to award or deliver the prize, the prize may not be re-awarded.

Sponsor will attempt to notify the potential winner as set forth above, but Sponsor is not responsible for any unseen posts, including but not limited to posts that are unseen due to a winner’s Facebook or Instagram privacy settings. The right to receive the prize is non-assignable, non-transferable and no cash equivalent or other prize substitution or exchange will be allowed, except by Sponsor, who reserves the right to substitute a prize of equal or greater value in case of unavailability of the prize or force majeure, at Sponsor’s sole and absolute discretion. All other costs and expenses not expressly set forth herein shall be solely the winner’s responsibility. Sponsor shall not be held responsible for any delays in awarding the prize for any reason. The prize will only be awarded to a verified winner. The Sponsor shall not be held responsible for any delays in awarding a prize for any reason outside of its control.

7. LIMITATION OF LIABILITY: By participating in this Sweepstakes, entrants agree that the Sweepstakes Entities are not responsible for lost or late entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof. If for any reason the Internet portion of the Sweepstakes is not capable of functioning as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes and/or proceed with the Sweepstakes, including the selection of a winner in a manner it deems fair and reasonable, including the selection of a winner from among eligible entries received prior to such cancellation, termination, modification or suspension. CAUTION: Any attempt by an entrant to deliberately damage any Web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such Entrant to the fullest extent of the law.

By entering the Sweepstakes, each entrant agrees: (i) to be bound by these Official Rules, including entry requirements; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his/her rights to bring any claim, action or proceeding against any of the Sponsor in connection with the Sweepstakes; and (iv) to forever and irrevocably agree to release and hold harmless each of the Sponsor from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable attorneys’ fees) that may arise in connection with the Sweepstakes, including entries, third-party privacy, personal, publicity or proprietary rights, wrongful, negligent or unauthorized act or omission on the part of the Sponsor or negligence or willful misconduct by entrant. Each prize is awarded without warranty, express or implied, of any kind.

If, for any reason, the Sweepstakes is not capable of running as planned, Sponsor reserves the right, at its sole and absolute discretion, to cancel, terminate, modify or suspend the Sweepstakes and/or proceed with the Sweepstakes, including the selection of a winner in a manner it deems fair and reasonable, including the selection of a winner from among eligible entries received prior to such cancellation, termination, modification or suspension. In no event will more than twelve (12) Prizes be awarded. In the event that, due to technical, typographical, mechanical, administrative, printing, production, computer or other errors, there are more winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the winner. Notice of such cancelation, termination, or modification of the Sweepstakes shall be posted on the Sponsor’s website.

8. DISPUTES: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in Orange County, Florida; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”); and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Florida State law, without reference to Florida’s choice of law rules, governs the Sweepstakes and all aspects related thereto.

9. PRIVACY POLICY: Any personally identifiable information collected during an entrant’s participation in this Sweepstakes will be collected by Sponsor or its agent and used by Sponsor, its affiliates, agents, and marketers for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules, in accordance with Sponsor’s Privacy Policy available at https://holidayinnclub.com/privacy-policy.

10. PUBLICITY RIGHTS: By participating in the Sweepstakes and/or accepting the prize, each entrant agrees to allow the Sponsor and/or the Sponsor’s designee the perpetual right to use his/her name, address (city and state), biographical information, photos, picture, portrait, likeness, voice, and/or statements regarding the Sweepstakes and/or Sponsor for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, including, but not limited to, live television, worldwide, on the World Wide Web and Internet, without notice, review or approval and without additional compensation, except where prohibited by law. If you are selected as a winner, your information may also be included in a publicly available winner list.

11. GENERAL: Any attempted form of participation in this Sweepstakes other than as described herein is void. Sponsor reserves the right to disqualify any entrant found or suspected, in their sole and absolute discretion, to be tampering with the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike manner or with the intent to disrupt the normal operation of this Sweepstakes. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in any promotional materials (including but not limited to point of sale, television and print advertising, promotional packaging and other promotional media), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

12. WINNER LIST: For the winner list, which includes the name and city or town of residence of the prize winners, dates of receipt of the prizes and value of the prizes, interested individuals, should mail a self-addressed stamped business envelope to: Social Media UGC Sweepstakes, 9271 South John Young Pkwy., Orlando, FL 32819. Winner List requests must be received no later than March 31, 2021.
